These Terms of Service ("Terms") govern your access to and use of PursuitAI, a product of Reliable Cloud Services LLC ("RCS", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.
PursuitAI is a software-as-a-service platform that aggregates federal government contracting data (sourced from SAM.gov, USAspending.gov, and other public-record sources) and provides AI-assisted analysis to help small and mid-sized government contractors identify, evaluate, and respond to federal contracting opportunities.
The Service includes the web application at pursuitai.net, our mobile applications, our REST APIs, and any related documentation, support, and updates we make available.
We may modify, add, or remove features at any time. Material changes that reduce paid functionality will be communicated to active subscribers in advance and may give you a right to terminate under section 9.
You must be at least 18 years old and capable of entering into a binding contract to use PursuitAI. The Service is intended for business use by U.S.-based government contractors and their authorized employees.
When you register, you agree to provide accurate, complete information and to keep that information current. You are responsible for safeguarding your password and any actions taken under your account. Notify us immediately at support@pursuitai.net if you suspect unauthorized access.
One person, one account. Sharing login credentials across users is not permitted; team plans (Enterprise) include per-seat licensing for that purpose.
PursuitAI offers a 14-day free trial on new accounts with no credit card required. At the end of the trial, accounts revert to a limited free tier unless you have selected a paid plan.
Paid subscriptions (Pro $249/month, Pro Plus $499/month, Enterprise $999/month base + per-seat) are billed monthly in advance through Stripe. Prices are in U.S. dollars and exclude any applicable taxes. By subscribing, you authorize RCS (through Stripe) to charge your payment method on a recurring basis until you cancel.
Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period. AI usage past your monthly allowance, when overage billing is enabled, is billed at the per-credit price in effect at the time of use, capped at your hard cap.
All fees are non-refundable except where required by law. Failed payments may result in suspension of the Service after a grace period.
You agree not to:
Use the Service to violate any applicable law or regulation, including U.S. export controls, sanctions, or federal contracting integrity rules.
Reverse-engineer, decompile, or attempt to extract the source code of the Service except to the extent permitted by applicable law.
Resell, sublicense, or otherwise commercially redistribute access to the Service without written permission from RCS.
Attempt to scrape, crawl, or systematically extract data through means other than the documented API, or exceed published rate limits.
Use the Service to harass, defame, or impersonate any government agency, contracting officer, or third party.
Upload or transmit malware, attempt to disrupt the Service, or interfere with another user's use of the Service.
Use the Service to generate proposal content that you knowingly submit to a federal agency without your own substantive review and human authorship — see section 7 (AI Output).
You retain all rights to the content you upload to PursuitAI (company profile data, past performance records, proposal drafts, attachments, comments, etc.) ("Your Content"). You grant RCS a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Your Content solely for the purpose of operating and improving the Service for you.
We do not use Your Content to train third-party AI foundation models. We may use anonymized, aggregated metrics derived from usage to improve the Service.
You are responsible for ensuring that you have the rights to upload Your Content and that it does not infringe any third party's rights or violate any law (including ITAR/EAR, classification rules, or contractual confidentiality with the government). Do not upload classified, controlled unclassified information (CUI), or proposal content marked proprietary by another contractor without authorization.
PursuitAI uses third-party large language models (currently Anthropic Claude) to generate analyses, drafts, and recommendations grounded in public-record data and Your Content. AI-generated output ("AI Output") is provided for your review and informational purposes only.
You understand and agree that:
AI Output may contain errors, omissions, or hallucinated facts. Always verify before acting on it.
AI Output does not constitute legal, financial, accounting, or compliance advice.
When submitting AI-assisted proposal content to a federal agency, you remain solely responsible for the accuracy, originality, and compliance of the final submission. Federal agencies may require disclosure of AI assistance under FAR 9.5xx and successor rules; you are responsible for any such disclosures.
Fit scores, bid/no-bid recommendations, price-to-win estimates, and competitor analyses are predictions, not guarantees. RCS makes no warranty regarding award outcomes.
The Service, including all software, designs, text, graphics, and the PursuitAI name and logo, is owned by RCS or its licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Feedback you provide about the Service may be used by RCS without compensation or attribution.
Third-party data (SAM.gov, USAspending.gov, FPDS, etc.) surfaced through the Service remains the property of the relevant authoritative source. Display of that data inside PursuitAI does not transfer any rights in it to you beyond what those sources permit.
These Terms remain in effect for as long as you use the Service. You may cancel your subscription at any time from the Billing tab; cancellation takes effect at the end of the current billing period and you retain access through that period.
We may suspend or terminate your access if you materially breach these Terms (including the Acceptable Use rules in section 5), if a payment fails and is not cured within 14 days, or if we are required to do so by law. Where practical we will give notice and an opportunity to cure before suspension.
Upon termination, your access ceases and we may delete Your Content after a 30-day retention window. Provisions that by their nature should survive (sections 6, 8, 10, 11, 12, 13) survive termination.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
RCS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. RCS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF DATA SOURCED FROM THIRD-PARTY GOVERNMENT SYSTEMS.
NO ORAL OR WRITTEN ADVICE FROM RCS OR ANY OF ITS AGENTS CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RCS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR LOST AWARDS OR CONTRACTING OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF RCS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RCS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO RCS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (b) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions, the limitations above apply only to the maximum extent permitted.
You agree to indemnify, defend, and hold harmless RCS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
Your use of the Service in violation of these Terms or applicable law.
Your Content or any submission made by you to a federal agency derived from the Service.
Your breach of any representation or warranty in these Terms.
RCS reserves the right to assume the exclusive defense of any matter for which we are entitled to indemnification, in which case you will cooperate with our defense.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws provisions. The parties agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Delaware, and each party consents to personal jurisdiction in those courts.
Before filing any claim, the parties will attempt in good faith to resolve the dispute informally for at least 30 days after written notice.
If you are a U.S. federal, state, or local government entity using the Service, additional terms may apply. Federal acquisition regulations including FAR 12.212 and DFARS 227.7202 govern licensing of commercial computer software to federal agencies; the Service is licensed as commercial computer software with the rights set forth in those regulations.
We may update these Terms from time to time. Material changes will be notified to active accounts via email and/or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, your sole remedy is to stop using the Service and cancel your subscription before the effective date; we will refund any prepaid fees attributable to the period after termination on a pro-rata basis.
